Terms of Service

This is a placeholder Terms of Service document. Your legal team should replace it with the final, reviewed agreement before launch.

1. Acceptance

By creating an account or using the ZeroCopy platform, you agree to these Terms on behalf of your business entity. The person clicking "I agree" represents that they have authority to bind the entity.

2. Service description

ZeroCopy provides software for managing intellectual property portfolios, monitoring for potential infringement, and assisting with enforcement actions. We do not provide legal advice. Use of the platform does not establish an attorney-client relationship.

3. Customer obligations

You are responsible for the accuracy of business information provided during onboarding, including KYB documentation. You are responsible for the legality of your enforcement actions and the IP rights you claim to hold.

4. Fees

Subscription fees are payable in advance per the plan you select. Annual contracts are non-refundable. Late payments may result in service suspension.

5. Data and privacy

Our handling of your data is described in the Privacy Policy and Data Processing Agreement, both incorporated by reference. We act as a processor with respect to data you upload.

6. Limitation of liability

ZeroCopy's aggregate liability is limited to fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

7. Termination

Either party may terminate for material breach with 30 days' notice if not cured. We may suspend the service for non-payment or security risk.

8. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
